1. Agreement to Terms

4.3 Pre-existing Materials

We retain all rights to pre-existing frameworks, libraries, tools, and methodologies used in delivering our services. Clients receive a license to use these materials as part of the delivered solution.

5. Payment Terms

• Payment terms will be specified in individual service agreements
• Invoices are typically payable within 30 days of receipt unless otherwise agreed
• Late payments may incur interest charges as specified in the service agreement
• We reserve the right to suspend services for non-payment
• All fees are exclusive of applicable taxes unless stated otherwise

6. Project Timeline and Deliverables

Project timelines and milestones will be established in the service agreement. While we strive to meet all deadlines:

• Timelines are estimates and may be subject to change based on project complexity and client feedback
• Delays caused by client actions or third-party dependencies may extend the timeline
• Changes to project scope may affect timelines and costs
• We will communicate any anticipated delays promptly

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. We implement appropriate security measures to protect client data and will not disclose confidential information to third parties without consent, except as required by law.

8. Warranties and Disclaimers

8.1 Our Warranties

We warrant that:

• Services will be performed in a professional and workmanlike manner
• Deliverables will substantially conform to agreed specifications
• We have the right to provide the services offered

8.2 Disclaimers

Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee:

• Uninterrupted or error-free operation
• That our services will meet all your specific requirements
• That third-party integrations will function flawlessly
• Specific business results or outcomes

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services shall not exceed the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for losses caused by factors beyond our reasonable control
• Clients are responsible for maintaining backups of their data

10. Indemnification

You agree to indemnify and hold harmless SoftVibeBridge Solutions, its employees, and contractors from any claims, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your infringement of any third-party rights
• Any content or data you provide to us

11. Termination

Either party may terminate a service agreement:

• For convenience with written notice as specified in the agreement
• Immediately if the other party breaches material terms
• Immediately if the other party becomes insolvent or bankrupt

Upon termination, the client shall pay for all work completed up to the termination date. We will provide deliverables for completed milestones.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. We will notify clients of material changes via email when possible.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan. Any disputes arising from these Terms or our services shall be resolved through:

• Good faith negotiations between the parties
• If negotiations fail, mediation by a mutually agreed mediator
• If mediation fails, arbitration or litigation in Baku, Azerbaijan

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.

15. Entire Agreement

These Terms, together with any service agreements and statements of work, constitute the entire agreement between you and SoftVibeBridge Solutions regarding our services and supersede all prior agreements and understandings.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
